JOB SUMMARY

The successful candidate will counsels a variety of corporate and business teams on a variety of matters.  In particular, the right candidate will draft, negotiate, and manage the Company’s software agreements and relevant clauses, as well as a variety of commercial agreements, in addition to other tasks as assigned. 

ESSENTIAL DUTIES AND RESPONSIBILITIES

  • Works with limited supervision.  Excels at creative problem solving, managing internal customer relationships, understanding strategic vision, executing the Company’s global commercial legal and intellectual property strategies, and managing outside counsel (including budgeting for legal matters).

  • Drafts, revises and negotiates a variety of commercial agreements, including development, supply, and manufacturing agreements.  Manages matters presenting potentially substantial risk, complexity, and business impact.  Recommends and drives best practices. 

  • Proficient at negotiating, drafting, and managing a variety of software related agreements and clauses.

  • Supports and provides training, as needed, to software development, operations and sales teams on a wide variety of matters, including intellectual property, software development and licensing, and open-source software.

  • Assists in developing and executing software management legal processes.

  • Performs due diligence for corporate transactions.

  • Promotes development of robust software development processes and compliance program(s).

  • Provides software-related dispute support.

  • May perform other duties and responsibilities as assigned.

MANAGEMENT & SUPERVISORY RESPONSIBILITIES

  • Typically reports to:  Associate General Counsel or Sr. Associate General Counsel.

  • This position is NOT directly responsible for managing other employees (e.g., hiring/termination and/or pay decisions, performance management).

  • May supervise professional staff or less experienced attorneys

KNOWLEDGE REQUIREMENTS

  • Excellent oral and written communication, good judgement, strong interpersonal skills, demonstrate ability to work in a changing, fast paced, and energetic environment.  An ability to communicate well with both lawyers and non-lawyers, including employees at all levels seeking advice.

  • Strong work ethic, motivated, responsive and self-starter, ability to resolve conflict, business acumen with business-oriented approach to problem solving, ability to prioritize and manage competing demands.

  • Expertise regarding drafting, revising (redlining) and negotiating commercial contracts, such as supply, development, manufacturing and channel partner agreements and other legal documents.

  • Demonstrable expertise regarding software development and licensing contracts, data rights and open-source software.  Expertise with privacy and/or information security laws and regulations, as well as international parties/applicable law, particularly with customers based in EMEA and/or APAC, a plus.

EDUCATION & EXPERIENCE REQUIREMENTS

  • Graduate of an ABA or foreign equivalent law school, member of a state bar in good standing, eligible to practice law in Florida.

  • 5-7 years (8-12+ preferred) of relevant legal experience (preferably in combination at a major law firm and in-house) or an equivalent combination of education, training, or experience.

  • Drafting, reviewing, and negotiating commercial agreements, such as supply, development, manufacturing and channel partner agreements and other legal documents.

  • Supporting sales, operations, and development organizations on a wide variety of commercial matters.

  • Drafting, reviewing, and negotiating XaaS, SLA, leasing, licensing, development, confidentiality, NDA, and other technology-related contracts and clauses. 

  • Managing legal policy, processes and matters related to open-source contribution and licensing (such as MIT, Apache, GPL, BSD…), and performing legal diligence to support participation in open-source projects, including releasing code under an open-source license and starting new open-source projects.  

  • Educating business organizations on open-source legal issues and managing compliance with legal obligations associated with contributions to and participation in open-source projects, and use of open-source materials.

  • Building and managing processes and procedures to keep up with growing volume and scale.

  • Experience resolving contract and software related disputes a plus.

  • Experience or interest in other IP areas, including trademark practice a plus.

  • Experience developing software a plus.

This job cannot be performed remotely in the state of Colorado.
